Contributor License Agreement

Contributor License Agreement (CLA) meaning Contributor License Agreement defines the terms of the intellectual property contributed to an enterprise/project, usually under an open source license for software.

CLAs can be used to enable vendors to easily pursue legal resolutions in case of copyright disputes or to receive contributions from third parties for re-intensive products. CLAs are important, especially for enterprise open source projects under Copyleft licenses, because without CLAs, contributions can also be restricted to guardians.

The purpose of a CLA is to ensure that the custodians of the project output have the necessary ownership or grant the right to all contributions so that they grant an irrevocable license under the chosen license to allow the project maintainer to use the contributions; if the copyright actually transfers, the agreement is more commonly known as a copyright transfer agreement.CLAs also have a role in raising awareness of IP issues in projects.
